Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Renzo platform and any related services (collectively, "the Service") provided by Renzo ("we," "us," or "our"). By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By registering for an account, clicking "I agree," or accessing any part of the Service, you enter into a binding agreement with Renzo. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

We may update these Terms at any time. Material changes will be reflected in the effective date above. Continued use of the Service after updates constitutes your acceptance of the revised Terms.

2. Description of Service

Renzo is an AI-powered relationship outreach tool designed for B2B professionals. The Service allows you to:

• Import, manage, and prioritise business contacts.
• Generate personalised outreach emails using AI, based on your contact history and relationship context.
• Track outreach activity and communication history per contact.
• Run batch outreach campaigns with AI-assisted contact filtering and message drafting.
• Connect external contact sources via CSV import or API integration.

Renzo prepares message drafts for your review. The Service does not send emails on your behalf. You initiate all outreach from your own email client (Gmail, Outlook, or similar).

3. Account Registration and Responsibilities

To access the Service, you must register for an account with a valid business email address. You agree to:

• Provide accurate and complete registration information.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately at support@meetrenzo.com if you suspect unauthorized access to your account.
• Be solely responsible for all activity that occurs under your account.

You may not create accounts for the purpose of reselling access, circumventing usage limits, or any other fraudulent purpose.

4. Payment Terms and Credits

The Service operates on a credit-based model. You purchase credits in advance and credits are deducted each time AI generates content.

• Account verification — a one-time $0.99 card verification charge is required to activate AI features. This charge verifies your payment method; it does not include credits.
• Credit purchases — credits are available in packs. Pricing is displayed at the time of purchase. All transactions are processed by Stripe and are final upon completion.
• No refunds on used credits — credits that have been consumed by AI generation are non-refundable.
• Unused credits do not expire — credits you have purchased remain in your account until used or your account is closed.
• Pricing changes — we reserve the right to change credit pricing at any time. Changes do not affect credits already purchased.
• Billing errors — if you believe you have been charged in error, contact us at support@meetrenzo.com within 30 days of the charge and we will investigate promptly.

5. Acceptable Use

You agree to use the Service only for lawful, legitimate professional purposes. You may not use Renzo to:

• Send unsolicited bulk email, spam, or any message to individuals who have not consented to receive communications from you.
• Harass, threaten, intimidate, or abuse any person or organisation.
• Violate any applicable law or regulation, including but not limited to CAN-SPAM, GDPR, CCPA, or anti-harassment laws.
• Impersonate any person, business, or entity.
• Attempt to gain unauthorised access to the Service, its infrastructure, or another user's account.
• Introduce malware, viruses, or harmful code into the Service.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Resell, sublicense, or provide access to the Service to third parties without our written consent.

Renzo is intended for outreach to individuals with whom you have an existing or prospective business relationship. We reserve the right to suspend or terminate any account we determine, in our sole discretion, is being used for spam or prohibited purposes.

6. Intellectual Property

Your data is yours. You retain full ownership of all contact data, message content, and other information you import or create in Renzo. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process and store that data solely to provide the Service to you. We do not claim any ownership over your data, and we do not use it for purposes other than delivering the Service.

Our platform is ours. Renzo, including its software, design, AI prompting logic, trademarks, and all underlying technology, is owned by Renzo and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated message drafts are suggestions only. You are solely responsible for reviewing and approving any message before it is sent. We are not responsible for the content or consequences of messages you send.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RENZO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE 90 DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL RENZO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms — particularly provisions related to acceptable use, spam, or illegal activity. Termination may result in forfeiture of unused credits without refund.

You may close your account at any time by contacting us at support@meetrenzo.com. Upon closure, your data will be deleted in accordance with our Privacy Policy.

10. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict-of-law provisions. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Jersey, and you hereby consent to the personal jurisdiction of those courts.
